On 29 June 2026, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139\u002F2004 (1). \n\nThis notification concerns the following undertakings:\n\n— Ares Management Corporation (‘Ares’, United States), controlled by Ares Partners HoldCo LLC, (‘Ares Partners’, United States),\n\n— Eni S.p.A (‘Eni’, Italy),\n\n— Eni Plenitude S.p.A Società Benefit (‘Eni Plenitude’, Italy), currently solely controlled by Eni.\n\nAres and Eni will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of Eni Plenitude.\n\nThe concentration is accomplished by way of purchase of shares.\n\n2\\. The business activities of the undertakings concerned are the following: \n\n— Ares is a global alternative investment manager offering clients complementary primary and secondary investment solutions across the credit, real estate, private equity, and infrastructure asset classes,\n\n— Eni is an oil and gas energy group, active globally in the exploration, production, refining and marketing of oil and natural gas, as well as in the generation and sale of electricity and the transition towards alternative energy solutions.\n\n3\\. The business activities of the undertaking Eni Plenitude are the following: \n\n— Eni Plenitude is active in the production of electricity from renewable sources, in the retail sale of electricity and natural gas to both domestic and non-domestic customers, in the e-mobility sector and in the provision of energy efficiency services.\n\n4\\. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. \n\nPursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139\u002F2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.\n\n5\\. It has direct and indirect investments in a number of sectors across the KSA and globally, including food and agriculture, energy, financial sector, manufacturing, real estate, logistics and digital sector.\n\n3\\. \n\nHUMAIN is a closed joint stock company established by PIF in the KSA in 2024 and launched in May 2025 to develop and manage AI technologies and infrastructure. \n\n4\\.
